Terms & Conditions of Use

1. Acceptance of Terms

These Terms and Conditions of Use (the "Terms") govern your access to and use of the Achievr website, web application, and related services (collectively, the "Service"). By accessing or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms were originally drafted in English. If there is any conflict between the English version and a translation, the English version controls.

Additional Terms & Policies

Our Privacy Policy describes how we collect, use, share, and protect personal data. Additional policies, product-specific terms, feature notices, and in-product disclosures may also apply; they are incorporated by reference and form part of these Terms.

Changes to these Terms

We may update these Terms from time to time to reflect new features, technologies, legal requirements, or business needs. When we make material changes, we will update the "Effective as of" date above and, where legally required, provide you with notice. Unless otherwise stated, updates take effect upon posting. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

Changes to the Service

We may add, modify, suspend, or discontinue any part of the Service at any time without liability. Some features may be in beta, not available in all countries, or may change over time.

2. Account Registration & Security

Creating an Account

To use certain features, you must create an account and provide accurate, current information. You agree to keep your information up to date.

Eligibility

The Service is intended for individuals 18 years or older. By using the Service, you represent that you are at least 18 and have the authority to enter into these Terms.

Account Security

You are responsible for any activity under your account and for safeguarding your credentials. Notify us immediately at support@achievrguru.com if you suspect unauthorized access. We are not liable for losses resulting from compromised credentials.

Suspension/Termination

We may suspend or terminate your account (with or without notice) if we reasonably believe you violated these Terms, applicable law, or engaged in fraudulent or abusive activity.

3. Use of the Service

Ownership & Intellectual Property

The Service, including software, interfaces, designs, text, graphics, logos, and other materials, is owned by Achievr or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted, we reserve all rights.

Limited License

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial purposes.

User Content

You may submit content to the Service (e.g., goals, habits, notes, tasks, score, feedback) ("User Content"). You retain ownership of your User Content. You grant Achievr a worldwide, royalty-free, non-exclusive license to host, store, reproduce, process, transmit, display, and adapt your User Content solely to operate, secure, provide, improve, and support the Service (including analytics and quality assurance). We will not publicly display or use your private User Content for marketing without your separate, explicit permission. Our handling of personal data is further described in the Privacy Policy.

You represent that you have all necessary rights to your User Content and that it does not infringe, misappropriate, or violate any rights of others or applicable law.

Feedback

If you provide ideas, suggestions, or feedback ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback without restriction or compensation.

Content Moderation

We may remove or restrict content that violates these Terms or the law. We do not pre-screen all content and are not responsible for User Content posted by others.

Prohibited Conduct

You agree not to:

• copy, modify, distribute, sell, lease, reverse engineer, or otherwise exploit the Service except as permitted;
• access the Service using automated means (e.g., bots, scrapers) without permission;
• upload malware or interfere with the integrity or performance of the Service;
• attempt to gain unauthorized access to accounts, systems, or data;
• use the Service to violate applicable law or third-party rights;
• build a competing service using the Service or its confidential information;
• engage in activity that is harassing, abusive, deceptive, or harmful.

System Requirements

The Service is web-based. Use a current version of a modern browser and a stable internet connection for best performance.

4. Third‑Party Services & Links

The Service may reference or integrate third‑party websites, services, content, or materials ("Third‑Party Services"). We do not control and are not responsible for Third‑Party Services. Your use of them is at your own risk and may be subject to separate terms and privacy policies.

5. Subscriptions, Trials, Fees & Payment

Subscription Options

Access to certain features requires a paid subscription. Pricing, term (e.g., monthly/annual), and included features are shown at checkout or on our pricing page.

Web Purchases

For web purchases made on achievrguru.com ("Web Purchases"), payments are processed by third‑party payment processors that you authorize to charge your selected payment method. Upon successful payment, your subscription starts immediately unless otherwise stated.

Auto‑Renewal & Cancellation

Subscriptions renew automatically for the same term unless you cancel at least 24 hours before the end of the current billing cycle. You can cancel at any time via Account → Plan & Billing on the website. Cancellation takes effect at the end of the current paid period; you will retain access until then. Deleting your account or ceasing use does not cancel your subscription.

If a renewal payment fails, we (or our payment processor) may retry charges and may use alternative amounts consistent with processor policies. If payment cannot be collected, your subscription may be suspended or terminated.

Trials & Promotions

Trial terms (if offered) are displayed at sign‑up. Unless you cancel before the trial ends, the subscription converts to a paid plan and the applicable fee is charged. We may limit eligibility for trials or promotions.

Add‑Ons

We may offer one‑time or recurring add‑ons (e.g., extra features). Cancelling your base subscription will cancel any recurring add‑ons at the end of the current period.

Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.

Refunds

Web Purchases are generally non‑refundable, except where required by law or as we determine in our discretion. Nothing in these Terms affects mandatory consumer rights.

EU/UK right of withdrawal: If you are an EU or UK consumer, you have a legal right to withdraw from a contract for digital services within 14 days of purchase. You may exercise this right by emailing support@achievrguru.com. If you consent to immediate supply of the Service and acknowledge you may lose the right to withdraw, then (i) for digital content supplied in full, the right is lost; or (ii) for ongoing digital services, we may provide a pro-rata refund for the period not provided after your withdrawal, to the extent required by law.

Chargebacks

Please contact us first to resolve billing issues. Initiating a chargeback may result in suspension or termination of your account. If duplicate refunds occur, we may work with the payment provider to correct them.

Price Changes

We may change subscription pricing in the future. Where required, we will give advance notice and the change will apply to the next renewal. If you do not agree, cancel before the new price takes effect.

6. User Representations & Restrictions

By using the Service, you confirm that you: (a) have legal capacity; (b) are not prohibited from using the Service by applicable law (including export and sanctions laws); (c) will not use the Service for unlawful purposes; and (d) will comply with these Terms and all applicable laws.

We expect respectful communications with our customer support. Harassing, abusive, or threatening behavior may lead to account termination.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

No professional advice. Information made available via the Service is for general informational purposes only and is not medical, legal, financial, or other professional advice. You are solely responsible for your use of any information obtained from the Service.

Some jurisdictions do not allow the disclaimers above; in such cases, they apply to the maximum extent permitted by law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ACHIEVR NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS), ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO ACHIEVR FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR €100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability; in such cases, the limitations apply to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify and hold harmless Achievr and its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your breach of these Terms; or (c) your misuse of the Service or violation of law or third‑party rights.

10. International Use

We do not represent that the Service is appropriate or available in all jurisdictions. You access the Service on your own initiative and are responsible for compliance with local laws.

11. Dispute Resolution

Informal Resolution First

Before filing a claim, you agree to email us at support@achievrguru.com with a brief description of your dispute and your account details, and to attempt in good faith to resolve it informally with us for 30 days.

Binding Arbitration & Class Waiver (Non‑EEA/UK Consumers)

If you reside outside the EEA or UK, and we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by arbitration under the Rules of the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry (ICAC at the UCCI), as in force on the date the arbitration is commenced.

• Seat (place) of arbitration: Kyiv, Ukraine.
• Governing law: the substantive laws of Ukraine.
• Language: Ukrainian or English, at the claimant's choice unless the tribunal orders otherwise.
• Form: hearings may be held by video/teleconference unless the tribunal determines an in-person hearings is necessary.

To the fullest extent permitted by applicable law, claims may be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding, and you waive any right to a jury trial to the extent such a right would otherwise apply.

Either party may apply to the courts of Ukraine for interim or conservatory measures in aid of arbitration.

EEA/UK Consumers

Nothing in these Terms deprives you of the consumer protection rights of your country of residence. If you are an EEA or UK consumer, you may bring legal proceedings regarding these Terms in the courts of your habitual residence. These Terms and any dispute or claim (including non‑contractual disputes or claims) will be governed by the laws of England and Wales, without regard to conflict‑of‑law rules, subject to mandatory consumer protection laws of your habitual residence.

Venue for Equitable Relief

Either party may seek temporary injunctive or other equitable relief in any court of competent jurisdiction to protect its confidential information or intellectual property rights.

12. Limitation on Claims Period

To the extent permitted by law, any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose; otherwise, it is permanently barred.

13. Miscellaneous

Entire Agreement. These Terms constitute the entire agreement between you and Achievr regarding the Service and supersede prior agreements on the subject.

Severability. If any provision is found unenforceable, the remainder remains in effect and the unenforceable provision will be modified to the minimum extent necessary to be enforceable while preserving its intent.

No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

Assignment. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign these Terms without our written consent.

Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

Electronic Communications. You consent to receive notices and disclosures electronically. Clicking buttons such as "Sign up," "Start Trial," or "I agree" constitutes your electronic signature.

14. App Stores (Not Applicable Until Mobile Apps Launch)

If you later download and access Achievr via Apple's App Store or Google Play, additional terms from those platforms will apply. We will update this section when mobile apps become available. Until then, this section does not apply.
